The agreement
These terms apply when you use spache — the app at pocket-ledger-app.web.app, the marketing site at spache.app, and any related services. By signing up or using spache, you accept these terms. If you don’t accept them, please don’t use the service.
The service is operated by Noetic Labs (Pty) Ltd, registered in Gaborone, Botswana.
Eligibility
You must be 16 or older to create an account. If you create a Space for a household or business, you confirm you have authority to bind that household or entity to these terms.
Your account
- You’re responsible for keeping your sign-in credentials safe. If you let someone else sign in as you, what they do is on your account.
- If you invite someone to your household / business Space, you’re responsible for the data they can see — review the invite before sending it, and remove them when they should no longer have access.
- Account information should be accurate. If your email or name changes, please update it from Settings.
What spache is for
spache is a personal / household / small-business budgeting tool. It helps you track expenses, plan budgets, and organise receipts. It is not a bank, a payment processor, a financial advisor, a tax preparer, or a regulated financial services provider. Numbers in spache are for your own planning. Always reconcile against your bank, your accountant, and the tax authority for anything that matters legally or financially.
Acceptable use
- Don’t use spache for unlawful activity.
- Don’t upload receipts, images, or content that isn’t yours or that you don’t have permission to share with us and our processors.
- Don’t try to break, scrape, denial-of-service, or reverse-engineer the service.
- Don’t probe other users’ data, attempt to bypass authentication, or manipulate the AI scanner with prompt-injection content.
- Don’t use spache to surveil another household member or employee without their knowledge — joint visibility is opt-in, please respect that.
- Don’t resell or wrap the service in a derivative product without our written permission.
We may suspend or terminate accounts that breach these rules, with or without notice depending on severity.
Free and paid plans
The Free plan is real and free. Family (BWP 79 / month) and Business (BWP 249 / month) are paid plans designed for households and small teams that need more receipt scans, Spaces, or members. Paid plans launch later in 2026; until then, every account is on Free with no card on file.
When you choose a paid plan, your subscription auto-renews until you cancel. You can cancel at any time and keep the plan’s features until the period you’ve already paid for ends. We don’t pro-rate refunds on partial months unless required by local consumer-protection law.
We may adjust pricing for new sign-ups at any time; existing subscribers will get at least 30 days’ written notice before any price increase takes effect on their plan, and a full refund window if they don’t want to continue.
Your content stays yours
The receipts, expenses, budgets, categories, and member tags you create remain yours. You grant us a limited, non-exclusive licence to host, store, transmit, and display that content solely so we can run the service for you. Nothing more.
AI receipt scanning
When you submit a receipt for scanning, we send the image once to Google’s Gemini API to extract structured fields (vendor, amount, date, category). The result is a best-effort guess. The AI sometimes mis-reads receipts — always glance at the suggested fields before saving. We are not liable for losses caused by an AI extraction error; always reconcile against your bank statement and the original till slip.
Service availability
We aim for high availability but don’t promise uptime. We may take the service down for maintenance, fixes, or feature work; if a planned outage will exceed 30 minutes, we’ll try to give notice. We’re not liable for third-party outages (Google Cloud, MongoDB Atlas, Resend, or your own internet connection) that cause downtime on our end.
Data and privacy
Your data is governed by our Privacy Policy, which is incorporated into these terms by reference. In short: we don’t sell your data, we export everything if you ask, and we delete everything if you delete your account.
Changes to the service
We’ll keep building spache. Sometimes that means renaming a feature, changing how something looks, or removing something rarely used. We won’t make breaking changes that delete data without notice. Material changes to these terms or to billing trigger an email to your account address before they take effect.
Termination
You can delete your account any time from Settings or by emailing support@spache.app. When you do, we delete your data per the retention schedule in the privacy policy.
We may suspend or terminate accounts that violate these terms or where required by law. If we ever shut spache down completely, we’ll give at least 30 days’ notice and tools to export your data.
Liability
To the maximum extent permitted by law, spache is provided “as is” and “as available.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement.
We’re a small team and we’ll do our best to keep spache running well, but we’re not liable for indirect, incidental, special, or consequential losses caused by service downtime, data inaccuracy, AI scanning errors, or third-party failures. Our maximum aggregate liability under these terms in any 12-month period is limited to the greater of (a) the fees you paid us in the prior 12 months, or (b) BWP 1,000 — except where local law forbids that limit.
Nothing in these terms limits liability that cannot be limited under Botswana, South African, or EU consumer- protection law.
Indemnity
You agree to indemnify Noetic Labs against third-party claims arising from content you upload that you didn’t have rights to, or from your breach of the acceptable-use rules above.
Governing law and disputes
These terms are governed by the laws of Botswana. Disputes go to the courts of Gaborone unless we mutually agree to arbitration. If you’re a consumer in another jurisdiction with mandatory protections, those still apply.
